Case Analysis Mr Sujeet Kumar Gupta vs Ideal Prepaid India Pvt Ltd & Ors 2026 DHC 3510

Synopsis

The plaintiff, a former director and shareholder of the defendant company, filed a suit for permanent injunction restraining the defendants from defaming him, along with damages and rendition of accounts. The dispute arose from a defamatory letter allegedly sent by the defendants to the company's clients after the plaintiff's resignation. The defendants filed an application under Order VII Rule 11 CPC seeking rejection of the plaint on the ground that the suit did not qualify as a "commercial dispute" under Section 2(1)(c) of the Commercial Courts Act, 2015, and therefore the Commercial Court lacked jurisdiction. The court held that the core dispute was defamation arising from a letter, not a dispute "arising out of" shareholders' agreements or provision of services. The plaint was ordered to be returned under Order VII Rule 10 CPC for presentation before an ordinary civil court. The plaintiff was granted the benefit of Section 14 of the Limitation Act.
