Synopsis of the Judgment

The corporate debtor (Earth Infrastructures Limited – EIL) was developing three projects on lands leased by GNIDA to its subsidiary companies. CIRP was initiated against EIL. The Resolution Professional invited resolution plans for project‑wise resolution. The CoC approved plans of Roma (for Earth Towne) and Alpha (for Earth TechOne, Earth Sapphire Court and Earth Copia). NCLT approved the plans. GNIDA appealed, and NCLAT set aside the approvals, holding that assets of subsidiaries cannot be treated as assets of the corporate debtor without GNIDA’s permission. The Supreme Court reversed, holding that this was a fit case to lift the corporate veil because EIL was the real developer, GNIDA was fully aware of EIL’s role, and GNIDA had failed to monitor the projects or file timely claims. The Court restored the resolution plans, directed GNIDA to waive penal interest/penal charges, permitted payment of principal dues over 24 months without additional interest, and held that the resolution applicants would bear GNIDA’s dues without burdening homebuyers.
