Synopsis of the Judgment

The Bank sanctioned a loan of ₹1.50 crores to the Corporate Debtor (CD) for purchase of a property. Under a quadripartite agreement, the loan amount was directly disbursed to the Builder, with the CD instructing such disbursement. The CD defaulted. The Bank filed an application under Section 7 of the IBC before the NCLT, which admitted it. The NCLAT set aside the admission, holding that the Bank could not be termed as a “Financial Creditor” because the loan was disbursed directly to the Builder and the transaction was intricately linked to the Builder’s performance obligations. The Supreme Court affirmed, holding that the dispute was predominantly contractual, the obligations of the Builder were central, and the IBC cannot be used as a coercive recovery mechanism when the debt arises from a complex tripartite arrangement rather than a straightforward financial default.
