Synopsis of the Judgment

The respondent invested substantial funds in the appellant company and was appointed Managing Director. He claimed that shares were allotted to him on 15.07.1999, but no share certificates were issued nor was his name entered in the register of members. Disputes arose; he filed company petitions under Sections 397 and 398 of the Companies Act, 1956 alleging oppression and mismanagement. The appellants objected to his locus standi, contending he was not a “member” under Section 41(2) (requiring name in register of members). The Company Law Board and High Court held that he was entitled to be treated as a member based on conduct, correspondence, and recognition of his proprietary interest. The Supreme Court affirmed, holding that for petitions under Sections 397 and 398, the expression “member” must be construed liberally with reference to Section 2(27) (inclusive definition) and the equitable nature of the remedy, not rigidly by Section 41(2). Formal entry in register is not the sole determinative factor where the company has recognised the person as a shareholder.
