An arbitration award was passed against Medeor for ₹10 crores plus interest, and the High Court directed Medeor to deposit ₹15.86 crores for a stay. The appellants sought to enforce the Consent Award against the promoters. The High Court deferred enforcement, holding that the promoters’ obligation to pay arises only after confirmation by the Highest Court of Appeal. The Supreme Court reversed, holding that the fourth limb of the Consent Award (“ensure that no liability… is recovered”) creates an absolute, immediate obligation. The deposit of ₹15.86 crores crystallised a liability, triggering the promoters’ duty to indemnify. The Court allowed enforcement and directed payment within 30 days.
